Acceptance Of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "Customer", "you" or "your") and VICOM SOLUTION LTD, a company incorporated under the laws of Cyprus ("SocialMetricHub", "Company", "we", "us" or "our"), governing your access to and use of the SocialMetricHub website, platform, applications, APIs, software, dashboards, analytics tools, artificial intelligence functionality and all related services (collectively, the "Services").
By accessing, registering for, subscribing to or otherwise using the Services, you agree to be bound by these Terms.
If you do not agree with these Terms, you must immediately discontinue use of the Services.
Eligibility
The Services are intended solely for individuals who are at least eighteen (18) years old and capable of entering into legally binding agreements.
If you access or use the Services on behalf of a company, organization or other legal entity, you represent and warrant that you have authority to bind such entity to these Terms.
Account Registration
To access certain features of the Services, you may be required to create an account.
You may register using an email address and password or through supported authentication providers including Google, Facebook, Instagram, LinkedIn and other services supported by SocialMetricHub from time to time.
You agree to provide accurate, current and complete information during registration and to keep such information updated.
You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
The Company reserves the right to refuse registration, suspend accounts or terminate accounts that violate these Terms or create security, legal or operational risks.
Description Of Services
Social Metric Hub is a software-as-a-service platform designed to assist users with social media management, monitoring, analytics, reporting, artificial intelligence-assisted content creation, campaign analysis, benchmarking, performance measurement and related activities.
The Services may include integrations with third-party social media platforms, artificial intelligence providers, analytics tools and other services.
The Company may modify, update, improve, discontinue or replace any part of the Services at any time.
Free Trials
The Company may offer free trials, promotional access periods or evaluation accounts.
Free trial features, duration and availability may vary at the Company's discretion.
The Company reserves the right to modify or terminate any free trial offering at any time without liability.
At the expiration of a free trial, access to certain functionality may be limited unless the User subscribes to a paid plan.
Subscription Plans
Access to certain Services may require the purchase of a subscription.
Subscription plans may include different features, usage allowances, workspace limitations, storage limits, AI credits, reporting functionality and user capacity limits.
The Company may introduce, modify or discontinue subscription plans at any time.
Descriptions of current subscription plans, features and pricing may be published on the website or otherwise communicated to Users.
Fees And Payment
Users agree to pay all fees associated with their selected subscription plan.
Payments may be processed by Stripe or other authorized payment processors.
All fees are stated exclusive of taxes unless expressly stated otherwise.
The User is solely responsible for any applicable taxes, duties, levies, governmental charges or similar obligations arising from use of the Services.
Unless otherwise required by law, all payments are non-refundable.
The Company reserves the right to suspend access to paid Services where payment obligations are not satisfied.
License To Use The Services
Subject to compliance with these Terms and payment of applicable fees, the Company grants the User a limited, non-exclusive, non-transferable, non-sublicensable and revocable license to access and use the Services for lawful business or personal purposes.
No ownership rights in the Services are transferred to the User.
The User may not sell, lease, sublicense, distribute, reproduce, modify, reverse engineer, decompile or otherwise exploit the Services except as expressly permitted by law.
Organization Accounts And Team Workspaces
Social Metric Hub may allow Users to create organization accounts, collaborative workspaces and team environments.
Organization administrators may invite users, assign roles, configure permissions, manage subscriptions and control access to workspace resources.
The organization account owner is responsible for all activities conducted within the organization workspace and for ensuring that all users comply with these Terms.
The Company shall not be responsible for disputes between administrators, team members or other users associated with an organization account.
AI Features And AI Credits
The Services may include artificial intelligence functionality provided through integrations with OpenAI, Google Gemini or other artificial intelligence providers.
AI functionality may generate recommendations, reports, content suggestions, summaries, performance analyses, social media drafts and other outputs.
Users acknowledge that AI-generated outputs are produced algorithmically and may contain inaccuracies, omissions, outdated information or content that is not suitable for a particular purpose.
The Company does not guarantee the accuracy, reliability, completeness or fitness of AI-generated outputs and Users remain solely responsible for reviewing and validating all AI-generated content before relying upon it.
Certain AI functionality may require the use of AI credits. AI credits may be allocated through subscription plans, promotional programs or separate purchases.
The Company reserves the right to establish fair usage limitations, consumption rules, expiration periods and allocation mechanisms for AI credits.
User Content
The Services may permit Users to upload, submit, create, store, import, process or otherwise make available content, including text, images, videos, reports, spreadsheets, datasets, marketing materials, social media content, RSS feeds and other materials ("User Content").
The User retains ownership of all User Content.
By uploading or submitting User Content, the User grants the Company a worldwide, non-exclusive, royalty-free, revocable license to host, store, process, reproduce, analyze, display and otherwise use such User Content solely for the purpose of providing, operating, maintaining, improving and securing the Services.
The User represents and warrants that it possesses all necessary rights, permissions, licenses and legal authority required to upload, process and use User Content through the Services.
The Company does not claim ownership of User Content.
Acceptable Use
Users agree not to use the Services in a manner that violates any applicable law, regulation or governmental requirement, infringes intellectual property rights, privacy rights or other rights of third parties, contains unlawful, fraudulent, deceptive, defamatory, obscene or harmful content, distributes malware, viruses, malicious code or harmful software, interferes with the operation, security or integrity of the Services, attempts to gain unauthorized access to systems, networks or accounts, scrapes, copies, extracts or harvests data from the Services without authorization, circumvents technical limitations or security measures, uses the Services to develop competing products or services, uses the Services for unlawful advertising, spam, phishing or similar activities, uses automated systems in a manner that creates excessive load or disrupts the Services.
The Company reserves the right to investigate suspected violations and take appropriate action, including suspension or termination of access.
Intellectual Property
All intellectual property rights in and to the Services, including software, source code, databases, algorithms, artificial intelligence systems, designs, trademarks, logos, documentation, interfaces, reports, visual elements and related technology are and shall remain the exclusive property of the Company and its licensors.
Except for the limited license expressly granted under these Terms, no rights, title or interest in the Services are transferred to Users.
Users shall not remove, alter or obscure any copyright, trademark or proprietary notices contained within the Services.
Beta Features
The Company may from time to time provide access to beta features, experimental functionality, preview releases or early access programs ("Beta Features").
Beta Features may contain errors, defects, interruptions or incomplete functionality.
The Company makes no representations or warranties regarding Beta Features and may modify, suspend or discontinue Beta Features at any time without notice.
Users access Beta Features entirely at their own risk.
Third-Party Services
The Services may integrate with or provide access to third-party platforms, products and services, including social media networks, analytics providers, artificial intelligence providers, payment processors and cloud infrastructure providers.
The Company does not own or control such third-party services and is not responsible for their availability, performance, security, content, policies or actions.
Users acknowledge that use of third-party services is subject to the terms, conditions and privacy policies of the respective third parties.
Suspension Of Services
The Company may suspend or restrict access to the Services immediately and without prior notice if the User breaches these Terms, the User engages in unlawful, fraudulent or abusive conduct, the User creates security risks, the User fails to satisfy payment obligations, the Company is required to do so by law, regulatory authority or court order, continued access may expose the Company, its users or third parties to legal, operational or security risks.
The Company shall not be liable for any losses resulting from such suspension.
Termination
Users may terminate their account at any time by following the account deletion process or contacting customer support.
The Company may terminate access to the Services at any time for breach of these Terms or for any other lawful reason.
Upon termination, the User's right to access and use the Services shall immediately cease.
Termination shall not affect any rights, obligations or liabilities accrued prior to termination.
Certain information may be retained following termination where required by law, regulatory obligations, dispute resolution requirements, fraud prevention purposes or legitimate business interests.
Disclaimer Of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN "AS IS", "AS AVAILABLE" AND "WITH ALL FAULTS" BASIS.
THE COMPANY DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE OR FREE FROM DEFECTS.
THE COMPANY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, PERFORMANCE, AVAILABILITY AND RELIABILITY.
THE COMPANY DOES NOT WARRANT THE ACCURACY OF ANALYTICS, REPORTS, AI OUTPUTS, RECOMMENDATIONS, HEALTH SCORES, BENCHMARKS OR OTHER INFORMATION GENERATED THROUGH THE SERVICES.
Limitation Of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES.
THIS EXCLUSION INCLUDES, WITHOUT LIMITATION, LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITIES, LOSS OF GOODWILL, BUSINESS INTERRUPTION, REPUTATIONAL DAMAGE OR PROCUREMENT OF SUBSTITUTE SERVICES.
THE COMPANY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES, THESE TERMS OR THE USER'S USE OF THE SERVICES SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY THE USER TO THE COMPANY DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
NOTHING IN THESE TERMS SHALL EXCLUDE OR LIMIT LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
Indemnification
The User agrees to indemnify, defend and hold harmless the Company, its affiliates, shareholders, directors, officers, employees, contractors, representatives and licensors from and against any and all claims, liabilities, losses, damages, judgments, settlements, costs and expenses, including reasonable legal fees, arising out of or relating to the User's use of the Services, the User's breach of these Terms, the User's violation of applicable law, the User Content, the infringement of intellectual property rights or other rights of third parties by the User, the User's misuse of artificial intelligence outputs, analytics or reports generated through the Services.
Force Majeure
The Company shall not be liable for any delay, interruption, failure or inability to perform its obligations under these Terms where such delay, interruption, failure or inability results from circumstances beyond the Company's reasonable control.
Such circumstances may include, without limitation, natural disasters, acts of God, fire, flood, earthquake, epidemic, pandemic, war, armed conflict, terrorism, cyberattacks, denial-of-service attacks, internet outages, failures of telecommunications systems, labor disputes, governmental actions, regulatory restrictions, sanctions, failures of third-party service providers, power outages or other events beyond the Company's reasonable control.
The Company's obligations shall be suspended for the duration of the force majeure event.
Export Control And Sanctions Compliance
Users may not access or use the Services in violation of any applicable export control laws, sanctions regulations or trade restrictions.
By using the Services, the User represents and warrants that neither the User nor any person acting on the User's behalf is located in, organized under the laws of, or ordinarily resident in any country or territory subject to comprehensive sanctions or trade restrictions imposed by the European Union, Cyprus, the United Kingdom, the United States or other applicable authorities.
The Company reserves the right to suspend or terminate access where required by applicable sanctions or export control laws.
Business Customers
Where the Services are used by a company, organization, government entity or other legal person, such entity shall be responsible for ensuring compliance with these Terms by its users, employees, contractors and representatives.
The entity entering into these Terms shall be responsible for all activities conducted under its organization account and shall ensure that all authorized users comply with applicable laws and these Terms.
Where Social Metric Hub processes personal data on behalf of a business customer, such processing may be governed by a separate Data Processing Addendum.
Consumer Rights
Nothing in these Terms shall limit, exclude or waive any mandatory consumer rights available under applicable law.
If the User qualifies as a consumer under the laws of the User's country of residence, mandatory protections granted by such laws shall remain unaffected by these Terms.
To the extent any provision of these Terms conflicts with mandatory consumer protection laws, such mandatory provisions shall prevail.
Changes To The Services
The Company reserves the right to modify, update, improve, suspend, discontinue or replace any feature, functionality, integration, subscription plan, pricing structure, artificial intelligence capability or component of the Services at any time.
The Company shall not be liable for modifications to the Services, including changes resulting from third-party platform restrictions, API modifications, legal requirements, security concerns or technological developments.
Changes To These Terms
The Company may amend these Terms from time to time.
Updated versions shall be published on the website and shall become effective on the date indicated in the updated version.
Where required by applicable law, the Company may provide notice of material changes through the Services, by email or through other reasonable means.
Continued access to or use of the Services after the effective date of revised Terms constitutes acceptance of the updated Terms.
Assignment
The User may not assign, transfer, sublicense or otherwise dispose of any rights or obligations under these Terms without the prior written consent of the Company.
The Company may assign, transfer or otherwise dispose of its rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, corporate reorganization, sale of assets or other business transaction.
Severability
If any provision of these Terms is held to be invalid, unlawful or unenforceable by a court of competent jurisdiction, such provision shall be enforced to the maximum extent permitted by law and the remaining provisions shall remain in full force and effect.
Waiver
No failure or delay by the Company in exercising any right, remedy or power under these Terms shall constitute a waiver of such right, remedy or power.
Any waiver must be in writing and signed by an authorized representative of the Company.
Entire Agreement
These Terms, together with the Privacy Policy, Cookie Policy, Data Deletion Policy, Data Processing Addendum (where applicable) and any additional policies referenced herein, constitute the entire agreement between the User and the Company regarding the Services and supersede all prior agreements, understandings and communications relating to the subject matter hereof.
Governing Law
These Terms and any dispute arising out of or relating to the Services shall be governed by and construed in accordance with the laws of Cyprus, without regard to conflict of laws principles.
Dispute Resolution And Jurisdiction
Any dispute, controversy or claim arising out of or relating to these Terms, the Services or the relationship between the parties shall be subject to the exclusive jurisdiction of the competent courts of Cyprus.
Nothing in these Terms shall affect mandatory rights of consumers under applicable consumer protection laws.
Language
These Terms may be translated into languages other than English for convenience purposes.
In the event of any inconsistency or conflict between the English version and any translated version, the English version shall prevail to the maximum extent permitted by law.
